RULES OF CONDUCT FOR THE SECU ANNUAL MEETING [entire link]

"The Bylaws of SECU provide that the Chair shall preside at all meetings of members and that the business, format, and conduct of meetings of members shall be subject to such policies and procedures as the Board of Directors may adopt for the proper conduct of meetings. In accordance with Article VIII §§ 3 and 6 of the Bylaws, the Board of Directors has adopted the following Meeting Rules of Conduct and Procedure (the "Meeting Rules") for the 2024 Annual Meeting."

✅ "Rule 6. No substantive motions shall be permitted from the floor other than those provided in the notice of the meeting."

Democratic participation has taken a bit of a beating over the last three years at SECU - at least at the Annual Meeting. 

In 2022, each SECU member had  the right to attend the Annual Meeting and comment directly to the SECU Board, even present a simple resolution to fellow members - and have it approved!  At the 2023 SECU Annual meeting resolutions and motions were no longer permitted; member comments were limited to two minutes. By the 2024 Annual Meeting, comments by members were entirely prohibited, as were resolutions and motions too. The SECU membership had been silenced by the SECU Board.

😎 In exchange for the right to speak or make motions for consideration, SECU members had been granted permission to submit questions, but only in advance. Those questions were not submitted to an independent entity; so no valid record was available to confirm that all questions were accepted, let alone answered. SECU members were also entitled to listen quietly as the questions were read out, followed by the responses at the Annual Meeting. No input or follow up was permitted. Member silence was the rule.   

✅ Via Rule 6 the SECU Board continues to offer members the possibility to actively participate in their credit union. We should have guidance shortly from the SECU Board on how to proceed with substantive motions for member consideration at the 2025 Annual Meeting [link - see prior post]..
