re: 2025 SECU Board Election Policies and Procedures.

Dear Ms. Warren,

Continuing with follow-up information on the "complaint" concerning the change in 2025 SECU Board Election Policies and Procedures (EPAP) without notification of SECU members.

Several members have asked for a clearer explanation of the change which occurred further limiting the time members have to submit a nomination package. Here's a quick look:

✅ Below is the fourth page of the 2024 SECU Board Election Policies and Procedures and the fourth page of the 2025 SECU Board Election Policies and Procedures as posted by SECU.

1) SECU has readily acknowledged that no notice of change was filed within the required time frame in 2025 [link - see letter] .

2) Note that the 2024 & 2025 SECU Board Election Policies and Procedures are derived from "Days Prior To Annual Meeting" at the top of the column. The baseline for determining the implementation of the SECU Board Election Policies and Procedures is the date of the Annual Meeting - as it should be.

3) Working from the bottom of both charts, you will find the time frames are the same until you reach "Deadline for Receipt of Candidate ..." which has been changed by two weeks; and that the remainder of the schedule upward has also been changed by 14 or 15 days.

4) In making this change in the 2025 SECU Board Election Policies and Procedures, the SECU Board has further reduced the ability for SECU members to file candidate packages. In 2024 SECU members could file up to 123 days prior to the Annual Meeting. That has now been increased to 134 days without notice, which has caused interested members to miss the filing deadline.

5) We again request that you look to the official minutes of SECU and to talk directly with the SECU Board to assure yourself that this change was not incidental nor a "weekends, holidays or otherwise" insignificant change.

  1. The self nomination candidates couldn’t even follow the process to submit their candidacy. That alone should tell you that they are wholly unfit for the BoD

    1. 8:42pm If this actually is a lack of sufficient notice situation, don't think anyone would try to claim that the BoD is unfit because of a legal misinterpretation, would you?

  3. I suggest SECU's legal department look up the definitions of "carbon copy" and "identical" before using those terms to describe something.
